END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Uptodatesoft ("Company," "We," "Us," or "Our") governing your use of the Jofotara Integration Application, which integrates QuickBooks Online with Jofotara. By installing, accessing, or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install, access, or use the Application.
1. GRANT OF LICENSE
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Application for your internal business purposes only. This license does not grant you any rights to the source code or any proprietary components of the Application.
2. RESTRICTIONS
You agree not to:
• Copy, modify, or create derivative works of the Application.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application.
• Use the Application for any illegal, unauthorized, or unethical purposes.
• Share, sell, rent, lease, or sublicense the Application to any third party.
• Use the Application in a manner that could damage, disable, overburden, or impair the functionality of QuickBooks Online, Jofotara, or any other integrated services.
3. INTELLECTUAL PROPERTY
The Application, including all intellectual property rights, is and remains the exclusive property of the Company. This Agreement does not transfer any ownership rights to you. All trademarks, logos, and service marks displayed in the Application are the property of their respective owners.
4. THIRD-PARTY SERVICES
The Application integrates with QuickBooks Online and Jofotara, which are third-party services. Your use of these services is subject to their respective terms of service and privacy policies. The Company is not responsible for the functionality, accuracy, or availability of these third-party services.
5. DATA PRIVACY AND SECURITY
• Data Collection: The Application may collect, process, and store data from QuickBooks Online and Jofotara as necessary to provide its functionality, except for login information that will never be stored; as logging in into Quickbooks Online is handled by endpoints provided by Intuit. By using the Application, you consent to the collection and processing of this data.
• Data Security: The Company implements reasonable security measures to protect your data. However, you acknowledge that no system is completely secure, and the Company cannot guarantee the absolute security of your data.
• Compliance: You agree to comply with all applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).
6. DISCLAIMER OF WARRANTIES
The Application is provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Application will be error-free, uninterrupted, or compatible with all devices or third-party services.
7. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Application.
8. TERMINATION
This Agreement is effective until terminated. The Company may terminate this Agreement at any time if you fail to comply with its terms. Upon termination, you must cease all use of the Application and delete all copies in your possession.
9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of The Hashemite Kingdom Of Jordan, without regard to its conflict of law principles.
10. AMENDMENTS
The Company reserves the right to modify this Agreement at any time. Any changes will be effective upon posting the updated Agreement within the Application or on the Company’s website. Your continued use of the Application after such changes constitutes your acceptance of the revised Agreement.
11. MISCELLANEOUS
• Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding the Application.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: The failure of the Company to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

ACCEPTANCE
By installing, accessing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
